These Terms of Use constitute a legally binding agreement between you, acting personally or on behalf of an entity (“you”), and UAPP LTD, a company registered in the United Kingdom and the owner of SMHub (“SMHub,” “we,” “us,” or “our”), concerning your access to and use of the smhub.co website and any other related media forms, media channels, or platforms (collectively, the “Service”).
By using the Service, you confirm that you have read, understood, and agree to be bound by these Terms of Use.
IF YOU DO NOT AGREE TO THESE TERMS OF USE, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE AND MUST DISCONTINUE USE IMMEDIATELY.
Supplemental terms and conditions or documents that may be posted on the Site or within the Service from time to time are hereby expressly incorporated by reference.
We reserve the right, at our sole discretion, to modify or update these Terms of Use at any time. Any changes will be reflected by updating the “Last updated” date at the top of these Terms of Use. You acknowledge and agree that it is your responsibility to review these Terms periodically to stay informed about any updates, as we do not provide individual notifications for such changes.
By continuing to use the Service after the updated Terms of Use have been posted, you confirm that you have read, understood, and agreed to the changes.
The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would violate applicable laws or regulations or would require us to meet any registration or compliance requirements within such jurisdiction or country.

However, we do not guarantee that all information will be error-free, complete, or up-to-date at all times. The availability of specific features or services may change without prior notice, and we reserve the right to modify or discontinue any part of the Service at our sole discretion. Pricing and subscription plans are also subject to change.
6. PURCHASES AND PAYMENT
We accept payments through Stripe, which supports major credit and debit cards, including Visa, Mastercard, and American Express.
You agree to provide current, complete, and accurate payment and account information for all transactions made via the Service. You also agree to promptly update your account and payment details, including email address, payment method, and payment card expiration date, to ensure successful transactions and communication with you as needed.
All charges will be processed in U.S. dollars unless otherwise specified. We reserve the right to change pricing at any time. If applicable, taxes will be added to the total price of your purchase.
By subscribing to our services, you authorize us to charge your selected payment method on a recurring basis (if applicable) without requiring your prior approval for each charge, until you cancel your subscription. Subscription fees are non-refundable except as required by law.
We reserve the right to correct any errors or mistakes in pricing, even if payment has already been requested or received. Additionally, we may, at our sole discretion, restrict, suspend, or terminate access to our services if fraudulent or unauthorized payment activity is detected.
7. REFUND POLICY
All sales are final, and payments are non-refundable, except as required by applicable law. We do not offer refunds or credits for partially used subscription periods or unused services. 8. PROHIBITED ACTIVITIES
You may not access or use the Service for any purpose other than that which we provide and authorize. The Service may not be used in connection with any commercial activities except those explicitly approved by us.

- Engage in any activity that could disrupt, damage, or interfere with the proper functioning of the Service.

- Remove copyright or proprietary notices from any content available on the Service.

- Interfere with or disrupt the Service or the networks connected to it.

We reserve the right to suspend or terminate access to the Service if we detect any violations of these terms.
9. USER-GENERATED CONTENT
SMHub may allow you to create, submit, post, display, transmit, publish, or distribute content and materials, including but not limited to text, videos, audio, images, graphics, comments, feedback, or other media (collectively, "User Contributions"). These contributions may be viewable by other users and may be shared through third-party platforms. By submitting User Contributions, you acknowledge and agree that they are non-confidential and non-proprietary, and you grant us the right to use, modify, and distribute them as needed in connection with the Service.
When creating or submitting User Contributions, you represent and warrant that:
- You own or have the necessary rights, licenses, and permissions to submit and share the content.
- Your Contributions do not infringe on any copyrights, trademarks, patents, trade secrets, or other proprietary rights of third parties.
- You have obtained the necessary written consent from any identifiable individuals in your Contributions to use their name, likeness, or other personal attributes.
- Your Contributions are accurate and not misleading.
- Your Contributions do not contain unauthorized advertising, spam, chain letters, pyramid schemes, or mass mailings.
- Your Contributions do not include obscene, lewd, defamatory, harassing, or otherwise objectionable content as determined by us.
- Your Contributions do not promote violence, harassment, discrimination, or hatred against any person or group.
- Your Contributions do not violate any laws or regulations, including those related to privacy, child protection, or intellectual property.
- Your Contributions do not contain offensive remarks based on race, nationality, gender, sexual orientation, or physical abilities.
- Your Contributions do not link to or promote illegal or prohibited content.
Any violation of these terms may result in suspension or termination of your access to SMHub. We reserve the right to remove or modify any User Contributions that violate these Terms of Use or that we deem inappropriate.
10. CONTRIBUTION LICENSE
By submitting or posting User Contributions on SMHub, you automatically grant us a non-exclusive, worldwide, royalty-free, fully paid, transferable, and sublicensable right and license to:
- Use, host, store, reproduce, modify, publicly display, publicly perform, distribute, and create derivative works based on your Contributions.
- Publish, transmit, and adapt your Contributions across various media formats and distribution channels.
- Use your Contributions for operational, promotional, or commercial purposes, in accordance with our Privacy Policy.
This license remains in effect for as long as your content is available on the Service, unless otherwise required by law. However, we do not claim ownership of your Contributions, and you retain all intellectual property rights over your content.
You represent and warrant that you have the necessary rights and permissions to grant this license and that your Contributions do not infringe on any third-party rights.
If you delete your Contributions from the Service, we will make reasonable efforts to remove them; however, copies may remain in backups or where required by legal compliance.
This license applies to any form, media, or technology, whether currently known or developed in the future. It also allows us to use your name, company name, or brand name (if applicable), as well as trademarks, service marks, trade names, logos, or any personal or commercial images that you provide in connection with your Contributions.
However, you retain all moral rights to your Contributions, and we do not claim ownership over them. You warrant that you have the right to grant this license and that your Contributions do not infringe on any third-party rights.
We do not claim ownership over your Contributions. You retain full ownership of all your Contributions, including any intellectual property rights or other proprietary rights associated with them.
We are not responsible for any statements, representations, or content you provide through the Service. You acknowledge that you are solely responsible for your Contributions and their legal compliance. By submitting Contributions, you expressly release us from any liability and agree not to pursue any legal claims against us regarding your Contributions.
We reserve the right, at our sole discretion, to:
- Edit, modify, or redact any Contributions for clarity, compliance, or other reasons.
- Re-categorize Contributions to ensure proper placement within the Service.
- Pre-screen, remove, or delete any Contributions at any time and for any reason, without prior notice.
However, we are not obligated to actively monitor or moderate User Contributions. The responsibility for content compliance remains with the user.
We do not claim ownership of your content, but we reserve the right to use it within the Service as outlined in these Terms.
11. WEB SERVICE LICENSE
Use License
We grant you a revocable, non-exclusive, non-transferable, and limited right to access and use the SMHub web service through a web browser, strictly in accordance with these Terms of Use.
You agree not to:

- Decompile, reverse-engineer, or attempt to obtain the source code of the Service, except as permitted by law.

SMHub is a web-based service that can be accessed through modern web browsers on various devices, including desktops, laptops, tablets, and smartphones. We do not require a website for service access.
You acknowledge that:

- The Service is designed to function on up-to-date versions of major browsers (e.g., Chrome, Safari, Firefox, Edge).
- Some features may not work properly on outdated browser versions or unsupported devices.
- We do not guarantee compatibility with all hardware and software configurations.
- Internet and Data Usage
- You are responsible for ensuring a stable internet connection to use the Service.
- We are not responsible for any data charges incurred while accessing SMHub.

- You must not attempt to bypass security measures or access the Service in unauthorized ways.
- Sharing login credentials with third parties is strictly prohibited.
- Third-Party Integrations

- Waive any moral rights to these Submissions, ensuring that we may adapt and use them freely.
- Confirm that your Submissions are original or that you have the right to share them with us.
- Acknowledge that we are not responsible for any claims related to intellectual property rights in your Submissions.
While we appreciate user feedback, we are not obligated to use, review, or implement any Submissions.
14. THIRD-PARTY WEBSITES AND CONTENT
SMHub may contain links to external websites ("Third-Party Websites") or display content originating from third parties ("Third-Party Content"), including articles, images, text, software, applications, and other materials.
We do not investigate, monitor, or verify the accuracy, reliability, legality, or appropriateness of any Third-Party Websites or Third-Party Content linked through our Service. We do not endorse or assume responsibility for:

17. TERM AND TERMINATION
These Terms of Use remain in effect as long as you continue to use SMHub.
WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT, AT OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, TO DENY ACCESS TO SMHUB (INCLUDING BLOCKING CERTAIN IP ADDRESSES) TO ANY USER FOR ANY REASON OR NO REASON, INCLUDING BUT NOT LIMITED TO:
- Violating these Terms of Use.
- Violating any applicable law or regulation.
- Engaging in fraudulent, abusive, or harmful activities.
We may also suspend or terminate your account and delete any associated content or data at any time without prior warning. If your account is suspended or terminated, you are prohibited from creating a new account under your own name, a fake name, a borrowed name, or the name of any third party, even if acting on behalf of that third party. In addition to account suspension or termination, we reserve the right to pursue legal action, including but not limited to civil, criminal, or injunctive remedies, as necessary.
18. MODIFICATIONS AND INTERRUPTIONS
We reserve the right to change, modify, or remove any content or features of SMHub at any time, at our sole discretion, and without prior notice. However, we are not obligated to update any information on the Service.
We do not guarantee that SMHub will be available at all times. We may experience technical issues, maintenance, system failures, or other interruptions that may temporarily affect access to the Service.
By using SMHub, you acknowledge and agree that:
- We may suspend, discontinue, or modify any part of the Service at any time without liability.
- We are not responsible for any losses, damages, or inconveniences resulting from temporary unavailability or service interruptions.
- We are not obligated to maintain, support, or provide updates, fixes, or releases for the Service.
Nothing in these Terms of Use shall be interpreted as an obligation for us to keep SMHub operational at all times.
19. GOVERNING LAW
These Terms of Use and your use of SMHub are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. If you are accessing SMHub from Ukraine, certain aspects of these Terms may also be subject to the laws of Ukraine, where applicable. By using SMHub, you agree that any disputes, claims, or legal proceedings arising from or related to these Terms shall be resolved in accordance with the laws of England and Wales, unless otherwise required by applicable local laws.
20. DISPUTE RESOLUTION
Any legal action, claim, or dispute arising from these Terms of Use or your use of SMHub (collectively, the "Dispute") shall be resolved in the courts of England and Wales, unless otherwise required by applicable local laws. Both parties ("the Parties") agree to submit to the jurisdiction of the courts of England and Wales and waive any objections based on lack of personal jurisdiction or inconvenient forum. The United Nations Convention on Contracts for the International Sale of Goods (CISG) and the Uniform Computer Information Transactions Act (UCITA) do not apply to these Terms. No claim, action, or proceeding related to SMHub may be initiated more than one (1) year after the cause of action arises.

The information provided on SMHub may occasionally contain typographical errors, inaccuracies, or omissions, including but not limited to descriptions, availability, or other details related to the Service.
We reserve the right to:
- Correct any errors, inaccuracies, or omissions at any time.

We do not guarantee that all content on SMHub is always accurate, complete, or up to date, and we assume no obligationto update or clarify such information except as required by law.

SMHub IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE MAKE NO WARRANTIES OR REPRESENTATIONS REGARDING:
- THE ACCURACY, COMPLETENESS, OR RELIABILITY OF CONTENT AVAILABLE ON SMHUB OR ANY THIRD-PARTY WEBSITE LINKED THROUGH THE SERVICE.
- UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION OF THE SERVICE.
- ANY ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS.
- PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF SMHUB.
- UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS, INCLUDING ANY PERSONAL OR FINANCIAL INFORMATION STORED THEREIN.
- ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE.
- ANY BUGS, VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICE BY THIRD PARTIES.
- ANY ERRORS OR OMISSIONS IN CONTENT OR MATERIALS, OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH SMHUB.
WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY THIRD-PARTY PRODUCTS OR SERVICES LINKED THROUGH SMHUB. WE WILL NOT BE A PARTY TO, OR IN ANY WAY RESPONSIBLE FOR, MONITORING ANY TRANSACTION BETWEEN YOU AND ANY THIRD-PARTY PROVIDERS. YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.
23. LIMITATIONS OF LIABILITY
IN NO EVENT SHALL WE, OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF SMHUB, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM WHATSOEVER, REGARDLESS OF THE FORM OF ACTION, SHALL IN NO EVENT EXCEED THE AMOUNT PAID BY YOU TO US, IF ANY, DURING THE SIX (6) MONTH PERIOD PRIOR TO THE INCIDENT GIVING RISE TO THE CLAIM. CERTAIN LAWS MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR IMPLIED WARRANTIES OR CONSEQUENTIAL DAMAGES. IF SUCH LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS UNDER APPLICABLE LAW.
24. INDEMNIFICATION
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of:
- Your Contributions;
- Your use of SMHub;
- Your breach of these Terms of Use;
- Any breach of your representations and warranties set forth in these Terms;
- Your violation of a third party’s rights, including but not limited to intellectual property rights;
- Any intentional harmful act toward another user of SMHub.
Notwithstanding the foregoing, we reserve the right, at your expense, to assume exclusive defense and control of any matter for which you are required to indemnify us. You agree to cooperate, at your expense, with our defense of such claims.
We will use reasonable efforts to notify you of any such claim, action, or proceeding subject to this indemnification as soon as we become aware of it.
25. USER DATA
